Terms of Service

Welcome to Paiv ("we," "our," or "the Service"), operated by ICG Labs LLC, a limited liability company organized under the laws of the United States. By accessing or using Paiv — including paiv.app and any associated mobile applications — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Description of Service

Paiv is an activity-partner matching platform. We connect individuals who want to participate in physical or social activities (such as tennis, pickleball, rock climbing, hiking, and others) with compatible partners in their area. The Service includes auto-matching by activity, location, and skill level; coordination tools; verification of attendance; and community access.

2. Eligibility

You must be at least 18 years old to use the Service. By using Paiv, you represent that you are 18 or older and have the legal capacity to enter into these Terms.

3. Account and Phone Verification

To access certain features, you must verify your phone number. By submitting your phone number, you:

• Confirm you are the owner or authorized user of that number.
• Consent to receive SMS messages from Paiv, including one-time passcodes (OTPs) for account verification and activity match notifications.
• Acknowledge that standard message and data rates from your carrier may apply.
• Understand you may opt out of SMS messages at any time by replying STOP to any message. Reply HELP for assistance.

Message frequency varies. You may receive up to 10 messages per week depending on your activity schedule and matches.

4. SMS Communications

By verifying your phone number and using the Service, you expressly consent to receive automated text messages from Paiv at the number you provide. These messages may include:

• One-time verification codes (OTPs)
• Match notifications ("You've been matched for tennis Saturday 10am")
• Reminder messages for upcoming activities
• Post-activity verification prompts

Opt-out: Reply STOP at any time to unsubscribe from SMS messages. You will receive a confirmation message and no further messages will be sent, except where required for account security.

Help: Reply HELP or email hello@paiv.app for assistance.

Cost: Paiv does not charge for SMS messages. Your carrier's standard message and data rates apply.

5. User Conduct

You agree not to:

• Provide false information or impersonate another person.
• Harass, threaten, or harm other users.
• Use the Service for any unlawful purpose.
• Attempt to circumvent verification or attendance systems.
• Share your account credentials with others.
• Spam, scrape, or reverse-engineer the Service.

We reserve the right to suspend or terminate accounts that violate these rules, at our sole discretion.

6. Matching and Activity Participation

Paiv facilitates introductions between users for the purpose of participating in activities together. We do not organize, operate, supervise, or take responsibility for any physical activity, venue, or in-person interaction. You participate in all activities at your own risk. We strongly encourage you to meet new partners in public places and exercise appropriate caution.

A match is established only after both users independently commit to an event. Failure to show up after committing may affect your access to the Paiv community features, as determined by your verified attendance record.

7. Intellectual Property

All content, trademarks, and software associated with Paiv are the property of ICG Labs LLC or its licensors. You may not reproduce, distribute, or create derivative works without our express written permission.

You retain ownership of any content you submit (such as profile photos or activity data), but you grant us a worldwide, royalty-free license to use, display, and process that content to provide and improve the Service.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICG LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100.

9. Indemnification

You agree to indemnify and hold harmless ICG Labs LLC and its officers, employees, and affiliates from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Continued use of the Service after changes constitutes acceptance of the revised Terms. For material changes, we will notify you via SMS or email where feasible.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law.
